1. 1.The pledge contract concluded between the pledgee and the pledgor;

(一)质权人与出质人已签订质押合同；

2. I/ we, the pledgee, hereby consent to remove pledge registration on stock certificate(s) specified below, and consent the pledgor to receive the dividends which are paid in the time period of pledge.

下列股票前经质权设定登记在案，现该项质权业经质权人同意撤销，请惠予撤销登记，质权设定期间所生孳息如未领取者，同意由出质人具领。

3. Article 71 Where the debtor performs his obligation at its maturity, or where the pledgor pays, prior to maturity, the debt secured, the pledgee shall return the pledged property.

6. The rights and obligations of the pledgor and the pledgee and the content of the pledging contract shall be governed by pertinent stipulations in relevant laws, regulations and these Provisions.

7. The debtor or the third party mentioned in the proceeding paragraph shall be the pledgor, the creditor shall be the pledgee, and the movables transferred shall be the pledged property.

前款规定的债务人或者第三人为出质人，债权人为质权人，移交的动产为质物。

8. The pledgor or other interested parties that handle the dissenting registration may cancel the dissenting registration on their own.

办理异议登记的出质人或其他利害关系人可以自行注销异议登记。

9. Any surplus funds after the sale must be paid to the pledgor.

变卖(受偿后)的剩余资金必须返还出质人。

10. Pledgee Under a NY law CSA, Collateral granted by the Pledgor over its property to another, the Pledgee.

11. Without consent from the pledgee, the pledgor shall not transfer or re-pledge the pledged equities.

12. An application for the revocation registration of equity pledge may be unilaterally filed by a pledgor or pledgee.

申请股权出质撤销登记，可以由出质人或者质权人单方提出。

13. When the shares referred to in the first paragraph hereof are pledged, the pledgor shall make immediate notification to the issuer;

第一项之股票经设定质权者，出质人应即通知公司；

第七十一条债务履行期届满债务人履行债务的,或者出质人提前清偿所担保的债权的,质权人应当返还质物。

15. Article 20 The pledgor or other interested parties shall inform the pledgee at the time of completion of dissenting registration.

第二十条 出质人或其他利害关系人应在异议登记办理完毕的同时通知质权人。

16. Article 8 The pledgee shall conclude an agreement with the pledgor before handling registration of pledge.

第八条 质权人办理质押登记前应与出质人签订协议。

17. A pledgor and a pledgee shall conclude a pledge contract in writing.

第六十四条出质人和质权人应当以书面形式订立质押合同。

18. Article 6 An application for the establishment, modification or cancellation registration of equity pledge shall be jointly filed by the pledgor and pledgee.

第六条申请股权出质设立登记、变更登记和注销登记，应当由出质人和质权人共同提出。

19. Article 10 The particulars of registration shall include the basic information of the pledgee and the pledgor, a description of the accounts receivable and the term of registration.

第十条 登记内容包括质权人和出质人的基本信息、应收账款的描述、登记期限。

20. Article 66 A pledgor and a pledgee may not stipulate in the contract that ownership of the pledged property shall be transferred to the pledgee if the obligation is not discharged at its maturity.

第四十条订立抵押合同时，抵押权人和抵押人在合同中不得约定在债务履行期届满抵押权人未受清偿时，抵押物的所有权转移为债权人所有。

21. The certificates of stocks pledged may not be transferred, unless agreed between the pledgor and the pledgee.

股票出质后,不得转让,但经出质人与质权人协商同意的可以转让。

22. Article 64 A pledgor and a pledgee shall conclude a pledge contract in writing.

质押合同自质物移交于质权人占有时生效。

23. Where the pledgee or the pledgor provides falsehoods for the handling of registration and causes harm to others, he shall assume the corresponding legal liability.

质权人、出质人提供虚假材料办理登记，给他人造成损害的，应当承担相应的法律责任。

24. Where the pledgee does not agree to the change or cancellation, the pledgor or other interested parties may handle dissenting registration.

质权人不同意变更或注销的，出质人或其他利害关系人可以办理异议登记。

25. The pledgee may agree with the pledgor to include in the particulars of registration items the amount of main credits.

质权人可以与出质人约定将主债权金额等项目作为登记内容。

26. (3) chattels pledge right shall be created at the time of the delivery of the pledged property by the pledgor.

27. 1.Resolution of the board of directors and other investors of the enterprise agreeing to the pledging of equities by the pledgor.
